1. Agreement to Terms

StoAI Intelligence is a division of StoAI Consulting. References to "we," "our," or "us" refer to StoAI Intelligence.

2. Services Description

StoAI Intelligence provides research and analysis services including:

• Competitor Analysis
• Meeting Intelligence
• Content Research Packs

All services are delivered as fixed-scope engagements with clearly defined deliverables, timelines, and pricing agreed upon before work begins.

3. Engagement Process

Scoping and Agreement

Before any work begins, we will:

• Conduct a scoping call to understand your requirements
• Provide a written proposal outlining scope, deliverables, timeline, and pricing
• Obtain your written acceptance of the proposal

Client Responsibilities

To enable us to deliver our services, you agree to:

• Provide necessary source materials and data in a timely manner
• Be available for clarification questions during the engagement
• Provide feedback within agreed timelines
• Ensure you have the right to share any materials you provide to us

4. Payment Terms

• Payment is due upon acceptance of the proposal, before work begins
• For ongoing services (e.g., monthly refreshes), payment is due at the start of each service period
• All prices are quoted in GBP unless otherwise specified
• Prices are exclusive of VAT where applicable

5. Deliverables and Intellectual Property

Your Rights

Upon full payment, you receive:

• Full ownership of all deliverables created specifically for your engagement
• The right to use, modify, and distribute deliverables within your organisation
• No restrictions on internal use of our analysis and recommendations

Our Rights

We retain:

• The right to use our methodologies, frameworks, and general knowledge for other clients
• The right to reference the engagement (without confidential details) in our portfolio, unless you request otherwise

6. Confidentiality

We treat all client information as confidential. Specifically:

• We will not share your data with third parties without your consent
• We will not use your data for purposes other than delivering your engagement
• We will not use your data for AI training or share it externally
• We will delete your data upon engagement completion unless retention is agreed

7. Limitation of Liability

Our services provide research, analysis, and recommendations. We do not guarantee specific business outcomes from implementing our recommendations.

• Our liability is limited to the amount paid for the specific engagement
• We are not liable for indirect, consequential, or incidental damages
• We are not liable for decisions made based on our analysis

8. Revisions and Changes

Each engagement includes a defined revision process:

• One round of revisions is included in the base price
• Additional revisions may incur extra charges, quoted in advance
• Scope changes require a revised proposal and agreement

9. Cancellation and Refunds

• Before work begins: Full refund available
• Work in progress: Partial refund based on work completed
• After delivery: No refund, but we will work with you to address any concerns

10. Communication

During engagements, we communicate via:

• Email for formal communications and deliverables
• Video calls for scoping and review sessions
• Other channels as mutually agreed

We aim to respond to all communications within 1 business day.

11. Modifications to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes constitutes acceptance of the new terms.

12. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
